Reliance Jio IPO: Fresh Issue vs OFS Explained

Every public offer raises one big question: where does your money actually go? It will depend on if the problem is fresh, offer to buy or a combination of both. The Jio Platforms is an ideal example to study and understand, let’s dive into it with simple terms.

What Is a Fresh Issue?

A new issue is when the company issues new shares, for the first time. The payments are deposited into the business’s account. It may be used to pay down debt, to add to or pay for day-to-day expenses. The thing is: dilution; more shares after, each existing shareholder has a slightly smaller piece. If an upcoming IPO is coming, see if this is the path it will go down.

What Is an Offer for Sale?

In an offer for sale, or OFS, existing shareholders sell some of their shares. No new shares are created. The funds are paid to the sellers and not the company. An OFS is not designed to sustain the firm; rather, it is aimed to aid early investors or promoters in selling their shares.

Fresh Issue vs OFS: Quick Comparison

Point Fresh issue OFS
New shares created Yes No
Who gets the money The company The sellers
Effect on ownership Existing holders dilute Stake simply changes hands
Typical use Growth or debt cuts Exits for shareholders

In brief, one puts money into the business and the other trades shares among the owners of the business. Both are common, and many IPOs mix them.

How Is the Reliance Jio IPO Structured?

The draft papers Jio Platforms submitted to SEBI were filed on 19th June 2026 and were approved by SEBI on 28th August 2026. Reliance Jio IPO will be an allotment cum offer-for-sale (OFS) basis issue, with a fresh issue of up to 270M equity shares of ₹10 face value. There is no offer for sale. The shares are proposed to be listed at BSE and NSE. Kotak Mahindra Capital serves as the lead manager and KFin Technologies is the Registrar.

Where Will the Money Go?

Since all the money goes to the company, the objectives matter. Jio will pre-pay up to ₹275,000 million, or ₹27,500 crore, of borrowings of its subsidiary. Funds are also available for general company expenses.

What Does Ownership Look Like?

Before the issue, 66.43% of the shares are held by Reliance Industries. New shares will dilute that stake, though control should stay significant. The amount of the reserve kept is at least 50% for institutions, at least 15% for non institutional investors and at least 35% for retail investors.

What Do the Numbers Say?

In fiscal 2026, revenue was ₹1,468,853 million and profit after tax ₹300,527 million. Factors of risk include a licence that will expire in October 2033, the large amount of debt and strong price competitiveness.

How Can You Apply?

Price band, dates, and lot size are not announced yet. In such a case, you must have a demat account, trading account and a UPI connected bank account. Select your lots, input your UPI ID and sign the mandate. Only one application will be allowed for each PAN.
